Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of RaceMap Studio (the "Service"), operated by Terranaut (Pty) Ltd, trading as RaceMap Studio ("we", "our", "us").

By accessing or using the Service at app.racemap.studio and racemap.studio, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Definitions

• "Service" means the RaceMap Studio SaaS platform, including all associated websites, applications, and features.
• "User" or "you" means any individual or organisation that accesses or uses the Service.
• "Content" means race maps, route data, images, branding materials, and other materials uploaded to or generated through the Service.
• "Subscription" means a paid plan providing access to Service features, as described on our pricing page.
• "Paddle" means Paddle.com Market Limited, our Merchant of Record for payment processing.

3. Merchant of Record and Payment Processing

All payments for the Service are processed by Paddle.com Market Limited ("Paddle"), who acts as the Merchant of Record for all transactions.

Paddle is the legal seller of all subscriptions and add-ons. When you purchase a subscription, your contract for payment is with Paddle, not directly with Terranaut (Pty) Ltd. Paddle handles all billing, invoicing, VAT/sales tax collection, and payment processing on our behalf.

By purchasing a subscription, you also agree to Paddle's Terms of Use, available at https://www.paddle.com/legal/terms.

All prices displayed are exclusive of applicable taxes unless stated otherwise. Paddle will calculate and apply the correct tax at checkout based on your location. Paddle accepts major credit and debit cards as well as PayPal; available payment methods may vary by region.

4. Subscriptions and Billing

The Service is available through the following subscription plans:

• Starter — $25 per month (or $250 per year)
• Pro — $85 per month (or $850 per year)
• Enterprise — Custom pricing, available on request

Optional add-ons are available:

• Sponsor Integration — $20 per month (or $200 per year)
• Route Tour Flyover — $50 once-off

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date. You may upgrade, downgrade, or cancel your subscription at any time through your account settings or by contacting us. Downgrades and cancellations take effect at the end of the current billing period.

5. Free Trials

We may offer free trials or promotional pricing from time to time. At the end of a free trial, your subscription will automatically convert to a paid plan at the applicable rate unless cancelled beforehand. We will notify you before any trial-to-paid conversion takes place.

6. Refunds

We offer a 14-day refund window from the date of your initial subscription purchase. Refund requests are handled in accordance with our Refund Policy and Paddle's buyer terms. Please refer to our Refund Policy for full details on eligibility, process, and timelines.

7. Account Registration and Security

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You must notify us immediately of any unauthorised access to or use of your account. We are not liable for any loss arising from unauthorised use of your credentials.

8. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
• Reverse-engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorised access to the Service or its related systems
• Upload or transmit viruses, malware, or other malicious code
• Resell, sublicence, or redistribute access to the Service without our prior written consent
• Use the Service to infringe upon the intellectual property rights of others
• Interfere with or disrupt the integrity or performance of the Service

We reserve the right to suspend or terminate accounts that violate these Terms, with or without prior notice depending on the severity of the violation.

9. Intellectual Property

RaceMap Studio and all related trademarks, logos, designs, and software are the property of Terranaut (Pty) Ltd and are protected by applicable intellectual property laws. You may not use our trademarks without prior written consent.

You retain ownership of all Content you upload to the Service, including route data, images, and branding materials. By uploading Content, you grant us a limited, non-exclusive licence to host, display, and process your Content solely for the purpose of providing the Service to you.

Maps and visualisations generated by the Service are licensed to you for use in connection with your events, subject to your active subscription.

10. User Content and Data

You are responsible for the legality, accuracy, and appropriateness of all Content you upload or submit through the Service. You must have the necessary rights and permissions for any Content you provide.

We may remove Content that violates these Terms or applicable law. For details on how we handle your personal data, please refer to our Privacy Policy.

11. Service Availability and Modifications

We aim to provide continuous service availability but do not guarantee uninterrupted or error-free access. We may modify, update, or discontinue features of the Service with reasonable notice where practicable.

Scheduled maintenance windows will be communicated in advance where possible. We are not liable for interruptions caused by circumstances beyond our reasonable control, including but not limited to internet outages, third-party service failures, or force majeure events.

12. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, Terranaut (Pty) Ltd makes no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, Terranaut (Pty) Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to your use of the Service.

Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount paid by you to us (via Paddle) in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Terranaut (Pty) Ltd, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your Content, or your breach of these Terms.

14. Termination

Either party may terminate the relationship at any time. If you cancel your subscription, it will take effect at the end of the current billing period, and you will retain access to the Service until then.

We may suspend or terminate your account immediately if you materially breach these Terms. Upon termination, your right to use the Service ceases. We may retain your data for a reasonable period to allow for data export, after which it will be deleted in accordance with our Privacy Policy.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall first be resolved through good-faith negotiation. If a resolution cannot be reached, the matter shall be submitted to the jurisdiction of the courts of the Republic of South Africa. Nothing in these Terms affects your statutory consumer rights under applicable law.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or by a prominent notice on the Service. The revised Terms will be posted on this page with an updated "Last Updated" date. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
